New limited liability company
Since the beginning of 2014, limited liability companies have been regulated in a completely new way
Brand new regulations have come into force - the new Civil Code and the Commercial Corporations Act. The new legislation brings a number of fundamental changes to the regulation of limited liability companies, and in particular the shareholders, managing directors and managers of limited liability companies have to deal with them.
The publication will briefly introduce the "new" limited liability company and highlight the differences from the current regime. Legal, tax and accounting aspects are taken into account. The emphasis is on clarity and readability so that the publication is accessible to the general business public. The text therefore includes possible formulations of the articles of association, examples from the field of accounting and taxation, as well as a model articles of association.
